How To Register A Company In Pakistan?

The process of registering a Trademark brand business in Pakistan is overseen by the Securities and Exchange Commission of Pakistan (SECP). The SECP has streamlined the process to make it easier for entrepreneurs to start their businesses.

1- Select the Company Type

Determine the appropriate legal structure for your business. The common types include:

  • Single Member Company (SMC): Owned by a single individual.
  • Private Limited Company: Requires 2 to 50 shareholders.
  • Public Limited Company: Requires at least three directors and can offer shares to the public.

Choosing the right type of structure depends on factors like the number of owners, liability concerns, and capital requirements.

2- Reserve a Company Name

Select a unique and suitable name for your company.

  • Does not resemble existing company names.
  • Name should not be deceptive or offensive.
  • Does not include prohibited words.

You can check the availability of your desired name and reserve it through the SECP’s online portal. This reservation is typically valid for up to 90 days.

3- Prepare Required Documents

Gather and prepare the necessary documents for incorporation:

  • Memorandum of Association (MoA): Outlines the company’s objectives and scope of activities.
  • Articles of Association (AoA): Details the internal management and governance structure.
  • Copies of CNICs/Passports: For all directors, subscribers, and the company secretary.
  • Registration Fee: Payment evidence as per the company’s authorized capital.
  • Declaration of Compliance: A statement confirming adherence to legal requirements.

4- Submit Incorporation Application

File the incorporation application with the SECP. This can be done online through the SECP’s e-Services portal or by submitting physical documents to the designated Company Registration Office. Ensure all forms are accurately filled and accompanied by the required documents.

5- Obtain Digital Signatures

Digital signatures are mandatory for online filings. These can be acquired from the National Institutional Facilitation Technologies (NIFT), the authorized provider. Each director and authorized officer must have a valid digital signature to authenticate electronic documents.

6- Certificate of Incorporation

Upon successful review and approval of your application, the SECP will issue a Certificate of Incorporation. This certificate serves as official confirmation of your company’s legal status and includes the company’s unique incorporation number.

7- Post-Incorporation Compliance

After incorporation, ensure the following:

  • Register for Taxation: Obtain a National Tax Number (NTN) from the Federal Board of Revenue (FBR).
  • Sales Tax Registration: If applicable, register for sales tax with the relevant authorities.
  • Open a Corporate Bank Account: Use the Certificate of Incorporation and NTN to open a bank account in the company’s name.
  • Maintain Statutory Books: Keep records such as the register of members, directors, and minutes of meetings.
  • Comply with Labor Laws: Register with relevant labor departments and ensure adherence to employment regulations.
